1. Agreement to Terms

By accessing or using Ar-ti-fi's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Service

Ar-ti-fi provides an AI-operated finance infrastructure platform that includes:

  • Production-ready financial database (General Ledger, AR, AP, revenue recognition, tax, budgets, etc.)
  • 300+ MCP (Model Context Protocol) tools for financial operations
  • Claude Skills for AI-operated accounting workflows
  • Integration capabilities with AI platforms (Claude, ChatGPT, etc.)
  • Admin dashboard for configuration and reporting

3. AI-Generated Content and Professional Responsibility

3.1 Nature of AI-Assisted Operations

Ar-ti-fi is an AI-powered platform where financial operations, data entry, reporting, and analysis are performed by or with the assistance of artificial intelligence systems, including but not limited to Claude (by Anthropic) and other large language models. AI systems may generate, process, categorize, calculate, and present financial data on your behalf.

3.2 No Warranty on AI Outputs

AI-GENERATED OUTPUTS, INCLUDING BUT NOT LIMITED TO FINANCIAL REPORTS, TAX CALCULATIONS, JOURNAL ENTRIES, ACCOUNT CATEGORIZATIONS, RECONCILIATION RESULTS, AND COMPLIANCE ASSESSMENTS, ARE PROVIDED ON AN "AS-IS" BASIS AND MAY CONTAIN ERRORS, INACCURACIES, OR OMISSIONS. AR-TI-FI MAKES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED OUTPUT.

3.3 User Responsibility for Verification

You acknowledge and agree that:

  • All financial data, reports, and accounting entries generated or processed by the platform must be reviewed and validated by you or a qualified professional before being relied upon for any purpose.
  • Tax filings, regulatory reports, and compliance documents must be reviewed and approved by a qualified accountant, tax advisor, or other relevant professional before submission to any government authority.
  • Financial statements and audit-related materials must be reviewed by a certified public accountant or equivalent professional in your jurisdiction.
  • You bear sole responsibility for the accuracy, completeness, and legal compliance of all financial records, tax filings, and reports, regardless of whether they were generated, assisted, or suggested by AI.

3.4 Not a Substitute for Professional Advice

The Services do not constitute accounting, tax, legal, or financial advice. Ar-ti-fi is a tool that assists with financial operations but does not replace the judgment of qualified professionals. You should consult with appropriate professionals for advice specific to your situation.

3.5 Limitation of Liability for AI Operations

AR-TI-FI SHALL NOT BE LIABLE FOR ANY LOSSES, DAMAGES, PENALTIES, FINES, OR EXPENSES ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS WITHOUT PROPER HUMAN REVIEW AND PROFESSIONAL VALIDATION. THIS INCLUDES, WITHOUT LIMITATION, INCORRECT TAX FILINGS, ERRONEOUS FINANCIAL REPORTS, MISCLASSIFIED TRANSACTIONS, OR ANY OTHER ERRORS IN AI-ASSISTED OPERATIONS.

4. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

5. Account Registration

When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Violate the intellectual property rights of Ar-ti-fi or others
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Use automated systems to access the Services without authorization
  • Reverse engineer, decompile, or disassemble the Services
  • Resell or redistribute the Services without authorization

7. Subscription and Payment

7.1 Fees

Subscription fees are based on your selected plan and are subject to change with 30 days' notice. All fees are exclusive of applicable taxes.

7.2 Billing

Subscriptions are billed monthly or annually in advance. Payment is due upon receipt of invoice. Late payments may result in service suspension.

7.3 Refunds

Refunds are provided on a case-by-case basis at our sole discretion. Annual subscriptions may be prorated for cancellations.

8. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You retain ownership of your data, and we will not access, use, or disclose your data except as necessary to provide the Services or as required by law.

You are responsible for:

  • The accuracy and legality of your data
  • Maintaining backups of your data
  • Compliance with applicable data protection laws
  • Obtaining necessary consents for data processing

9. Intellectual Property

The Services, including all software, content, and materials, are owned by Ar-ti-fi and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose.

You retain ownership of any custom Skills, configurations, or integrations you create, but grant us a license to host and execute them as part of the Services.

10. Service Availability

We strive to maintain 99.9% uptime, but we do not guarantee uninterrupted access to the Services. We may perform maintenance, updates, or modifications that temporarily affect availability.

We are not liable for service interruptions due to:

  • Scheduled or emergency maintenance
  • Third-party service failures (hosting, internet providers)
  • Force majeure events (natural disasters, war, etc.)
  • Your own network or system issues

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTIFI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we implement security measures and testing, we do not warrant that the Services will be error-free, secure, or free from viruses or other harmful components.

13. Indemnification

You agree to indemnify, defend, and hold harmless Ar-ti-fi, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your data or content

14. Termination

Either party may terminate the Services:

  • You: Cancel your subscription at any time with 30 days' notice
  • We: Terminate for cause (violation of Terms) immediately, or without cause with 30 days' notice

Upon termination:

  • Your access to the Services will cease
  • You will have 30 days to export your data
  • We may delete your data after the retention period
  • You remain responsible for all fees incurred before termination

15. Modifications to Services and Terms

We reserve the right to modify the Services or these Terms at any time. We will provide notice of material changes via email or through the Services. Continued use after changes constitutes acceptance of the modified Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of your governing jurisdiction without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in accordance with your applicable arbitration rules, except where prohibited by law.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
